--- title: "Replaier Partner Program Terms - Replaier" description: "Replaier is an AI tool that replies to your social media comments automatically." url: "https://replaier.com/partner-program-terms" --- ## **REPLAIER PARTNER PROGRAM TERMS** **Version 1.1 — Last updated: August 15, 2026** These Partner Program Terms ("Program Terms") govern participation in the referral program of the REPLAIER platform, operated by IT Desenvolvimento de Software ME ("REPLAIER", "we"), and supplement the [Terms of Service](https://replaier.com/terms) and the [Privacy Policy](https://replaier.com/privacy-policy), which remain fully applicable. By requesting your first commission withdrawal, you represent that you have read, understood, and fully accept these Program Terms. **If you do not agree with any provision set out here, do not request withdrawals and do not participate in the Program.** Contact: **[contato@replaier.com](mailto:contato@replaier.com)** --- ## **1\. WHAT THE PROGRAM IS** The Partner Program rewards you for referring new paying customers to REPLAIER. Each user receives a unique referral link and code. When someone creates an account through your link and starts paying for a subscription, you begin receiving a **commission calculated on the revenue actually received** from that subscription. **Compensation derives exclusively from actual subscription revenue.** There is no payment for sign-ups, for joining the Program, for recruiting new partners, or for the mere creation of accounts. There is no entry fee, mandatory purchase, or any investment required to participate. The Program does not constitute, and must not be interpreted as, a pyramid scheme, multilevel recruitment marketing, or an investment offer. --- ## **2\. WHO CAN PARTICIPATE** **2.1.** Any REPLAIER account holder automatically has a referral link. **2.2.** To **generate commissions**, you must maintain an active, paid-up subscription with REPLAIER on the date the referred customer's invoice is paid. If your subscription is canceled, suspended, or past due on that date, the commission corresponding to that invoice **will not be generated and will not be recovered retroactively**. **2.3.** To **receive payments**, you must be at least 18 years old, hold a valid and regular CPF or CNPJ (Brazilian individual or company taxpayer ID), and register a PIX key (Brazil's instant payment system) held in your own name. **2.4.** The same CPF or CNPJ may only be linked to a single partner account. --- ## **3\. HOW A REFERRAL IS ATTRIBUTED** **3.1. First click.** Attribution belongs to the **first** partner whose valid link the visitor used. If the visitor subsequently accesses another partner's link, the original attribution is retained. **3.2. Attribution window.** The code remains recorded in the visitor's browser for **30 days**. If the account is created after that period, or on a different browser or device without a new visit to the link, no attribution will occur. **3.3. Finality.** Attribution occurs at the moment the referred account is created and is **permanent and irreversible**. We do not perform manual, retroactive, or on-request attribution, even if the customer confirms having been referred by you. **3.4. Prohibition on self-referral.** It is prohibited to refer yourself, companies in which you are a partner, owner, or manager, or persons with whom you share a payment method, tax document, or address for the purpose of obtaining a commission. **The only exception is an approved Agency Partner, under clauses 3.5 to 3.9.** **3.5. Agency Partner.** Marketing agencies, automation agencies and other providers that **manage third-party accounts** may apply for Agency Partner status. Once the application is approved, the projects you create in your own account for your clients are treated as valid referrals rather than as self-referral. **3.6. Application and approval.** The application is submitted in the payout details form and requires the agency's name, website, Instagram profile and address (LinkedIn optional). Approval is **prior, manual and discretionary**: it may be refused without any right to compensation, and may be revoked at any time if the information is false or outdated, or if you cease to manage third-party accounts. **3.7. What approval unlocks.** At the moment of approval, and case by case, REPLAIER defines whether the projects you create (i) generate commission and (ii) receive the first-purchase discount. The conditions applying to your agency are recorded in your partner dashboard and may be revised in a new review, with no effect on commissions already booked. **3.8. Projects created before approval.** Projects you create before the application is approved **are still recorded** as referrals, but are **held**: they generate no payment while the application is not approved. Once the application is approved, REPLAIER **may** release those held referrals, in whole or in part, including in respect of invoices already paid — this is **an option available to REPLAIER, not an acquired right**. If the application is refused, the held referrals are cancelled, and the record is kept for auditing and any future re-review. **3.9. Agency Partner responsibilities.** You represent that you have your clients' authorisation to create and manage the accounts on their behalf, and you are responsible for the data you enter. Creating projects with no real client behind them, duplicating accounts of the same client, or splitting a single client across several projects to increase commission are prohibited conducts (clause 7) and result in the cancellation of the corresponding commissions. --- ## **4\. HOW THE COMMISSION IS CALCULATED** **4.1. Calculation basis.** The commission is levied on the **net revenue actually received** on each paid invoice of the referred customer, understood as the amount paid less applicable taxes. The following are not included in the basis: amounts not received, canceled invoices, free trial periods, and promotional credits. **4.2. Percentages and tiers.** The Program is progressive: your commission percentage varies according to the number of **active, paying direct referrals** you maintain. The current tiers, with their thresholds and percentages, are always available and up to date on your partner dashboard, which prevails over any promotional material. **4.3. Multilevel.** You also receive a smaller, decreasing percentage on the revenue generated by the referrals of the partners **you** referred, down to **3 levels** of depth. The percentages for each level appear on your dashboard. **4.4. Freezing of parameters.** The percentage, tier, and count of active referrals are calculated and **recorded at the moment each invoice is paid**. Subsequent changes to your tier do not recalculate commissions already recorded, whether upward or downward. **4.5. Duration.** The commission is owed on invoices paid within the **first 12 months** counted from payment of the referred customer's first invoice. Once that window closes, no new commission is generated from that customer, even if the subscription remains active. Interruptions, suspensions, or delinquency **do not extend** the window. **4.6. Annual plans.** For annual subscriptions, the commission for the period is calculated on the invoice and **accrued in 12 monthly installments**, released progressively over the 12 months corresponding to the contracted service. Installments not yet released are canceled in the event of a refund, cancellation, or dispute of the subscription. **4.7. Currency.** Commissions are calculated and paid in **Brazilian reais (BRL)**. Invoices billed in US dollars are converted using the Banco Central do Brasil's PTAX selling rate on the invoice date, and the rate applied is recorded on your statement. --- ## **5\. RELEASE, WITHDRAWAL, AND PAYMENT** **5.1. Holding period.** Each commission is **unavailable for 30 days** counted from payment of the invoice that originated it. This period exists to cover the usual window for refunds and disputes. **5.2. Minimum amount.** A withdrawal may only be requested once the available balance reaches a **minimum of R$ 100.00 (BRL)**. **5.3. Request.** Withdrawal depends on your request through the dashboard. There is no automatic payment. Upon request, the balance is reserved and you may only maintain **one open request at a time**. **5.4. Payment.** Payments are made exclusively via **PIX**, to a key held in the name of the registered CPF or CNPJ, within up to **15 business days** counted from the request. A mismatch between the key's holder and the registered document prevents payment. **5.5. Changing the PIX key.** For security reasons, changing the PIX key **suspends withdrawals for 72 hours** and generates a notification to the registered email. **5.6. Balance expiration.** Available balances not withdrawn for **24 consecutive months**, where the account is inactive and after notice to the registered email, may be canceled. --- ## **6\. CHARGEBACKS AND NEGATIVE BALANCE** **This clause is essential and you must read it carefully.** **6.1.** If the invoice that originated a commission is **refunded, canceled, or disputed** (chargeback), in whole or in part, the corresponding commission will be **reversed in the same proportion**. **6.2.** Commissions not yet paid to you are canceled or proportionally reduced. **6.3.** **If the commission has already been paid**, the reversal will be recorded as a debit on your statement, **which may make your balance negative**. You agree that **new commissions will be automatically offset against this negative balance** until it is fully settled, and that **no new withdrawal will be released while the balance is negative**. **6.4.** In the event your participation is terminated with a negative balance resulting from proven fraud, REPLAIER may collect the amount through applicable legal means. --- ## **7\. FRAUD AND PROHIBITED CONDUCT** **7.1.** The following conducts, among others, are expressly prohibited: - self-referral, whether direct or through an intermediary, except for an approved Agency Partner (clause 3.5); - declaring yourself an agency without managing third-party accounts, or creating projects as an Agency Partner with no real client behind them; - splitting a single client across several projects in order to increase commission; - creating fake, duplicate, or unauthorized third-party accounts; - using disposable emails or false data on referred accounts; - subscriptions contracted for the purpose of generating a commission and later refunded; - circular referral structures between related accounts; - spam, unsolicited mass messaging, or promotion through channels that violate third-party rules; - paid advertising on the "Replaier" brand or variations thereof, without prior written authorization; - false claims, result guarantees, or promises not provided for in official materials; - presenting yourself as an employee, legal representative, or reseller of REPLAIER. **7.2. Monitoring.** We use automated risk-detection systems that analyze, among other signals, device match, IP address, payment method, tax document, and registration patterns. Referrals classified as high risk have their commissions **automatically canceled**; those of intermediate risk are **held for manual review**. **7.3. Consequences.** If a violation is found, we may, individually or cumulatively: cancel pending and available commissions, refuse withdrawal requests, terminate your participation in the Program, and suspend or terminate your REPLAIER account. **7.4. Dispute.** You may dispute any decision by emailing **[contato@replaier.com](mailto:contato@replaier.com)** within 30 days, and the review will take the recorded evidence into account. **REPLAIER's final decision, after review of the dispute, is final.** --- ## **8\. TAXATION** **8.1.** Commissions constitute **taxable income** and are paid on a strictly commercial basis. **8.2.** You are **solely responsible** for calculating, declaring, and paying all taxes levied on the amounts received, according to your legal status (individual or legal entity) and the applicable tax regime. **8.3.** REPLAIER may withhold taxes at source when required by law, and will make available the applicable documents and income statements. **8.4.** The Program **does not create an employment, corporate, commercial representation, franchise, or exclusivity relationship** between you and REPLAIER. You act autonomously and at your own expense and risk. --- ## **9\. CHANGES TO THE PROGRAM** **9.1.** We may change percentages, tiers, deadlines, minimum amounts, and other rules at any time, by publishing a **new version** of these Terms and notifying the registered email at least **30 days** in advance. **9.2.** **Commissions already recorded are not recalculated** due to subsequent changes. The rules applicable to each commission are those in effect on the date it was generated and are recorded on your statement. **9.3.** Continued use of the Program after the new version takes effect implies your acceptance. If you disagree, you may terminate your participation and withdraw your available balance, subject to the minimum amount and holding period. --- ## **10\. TERMINATION** **10.1.** You may terminate your participation at any time. The available balance remains withdrawable, subject to the minimum amount and holding period; future commissions cease to be generated. **10.2.** We may terminate your participation, upon notice, in the event of a violation of these Terms, the Terms of Service, or applicable law. Where fraud is proven, termination is immediate and pending and available commissions are canceled. **10.3.** We may discontinue the Program as a whole upon 30 days' notice, in which case available balances and commissions already generated will be honored. --- ## **11\. GENERAL PROVISIONS** **11.1.** Tolerance of any breach of a provision does not imply waiver or novation. **11.2.** The eventual invalidity of a clause does not impair the validity of the others. **11.3.** These Terms are governed by the laws of the Federative Republic of Brazil. **11.4.** The courts of the partner's domicile, when the partner is a consumer, or the courts of REPLAIER's headquarters in all other cases, are elected to settle disputes arising from these Terms. --- **IT Desenvolvimento de Software ME** [contato@replaier.com](mailto:contato@replaier.com)
